NWL Training Hub Delivery Partner Terms and Conditions
1. Scope
These terms apply to all organisations, contractors, trainers, facilitators, mentors, educators, consultants, delivery partners and commissioned providers engaged by NWL Training Hub to provide training, education, coaching, mentoring, consultancy or workforce development services.
Where a separate contract, grant agreement, service level agreement or memorandum of understanding exists between NWL Training Hub and a Provider, those documents shall be read alongside these Terms and Conditions.
2.Training Delivery and Professional Standards
The Provider shall be solely responsible for:
accuracy of training content
clinical accuracy and evidence base
compliance with relevant legislation, professional guidance and NHS standards
ensuring materials are current and fit for purpose
obtaining permissions for use of third-party materials
NWL Training Hub does not assume responsibility for the content developed or delivered by Providers.
The Provider shall ensure all trainers, facilitators and associates:
possess appropriate qualifications and experience
maintain professional registration where applicable
comply with relevant professional codes of practice
maintain required continuing professional development
ensuring all staff and trainers who provide training for programmes and services commissioned have completed and up to date on all employment and HR processes as an individual for example; statutory and mandatory training and a valid DBS check (this is not an exhaustive list)
3.Information Governance, Data Protection and Confidentiality
The Provider shall:
comply with The Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR)
comply with NHS information governance requirements
maintain appropriate security arrangements
only process learner data for agreed purposes
immediately report any actual or suspected data breach
The Provider shall be responsible for any breach arising from its own actions or omissions.
Providers shall maintain confidentiality regarding learner information, programme information, commercially sensitive information and any information obtained through their engagement with NWL Training Hub, except where disclosure is required by law.
4.Safeguarding
The Provider shall maintain appropriate safeguarding policies and procedures and ensure all staff are trained in safeguarding requirements relevant to their role.
5.Equality, Diversity and Inclusion
The Provider shall:
comply with the Equality Act 2010
promote equality, diversity and inclusion
ensure training materials are inclusive and non-discriminatory
6..Insurance, Liability and Indemnity
The Provider shall maintain:
Professional Indemnity Insurance
Public Liability Insurance
Employer’s Liability Insurance (where applicable)
Minimum cover levels should be determined by the Provider and be appropriate to the services delivered.
Evidence of insurance shall be provided on request.
The Provider shall remain fully responsible for:
training delivery
advice given during training
clinical content
acts and omissions of employees, contractors and subcontractors
The Provider shall indemnify and hold harmless NWL Training Hub and The Confederation, Hillingdon CIC against claims, losses, damages, costs or liabilities arising from:
negligence
misconduct
breach of professional duty
breach of data protection legislation
intellectual property breaches
inaccurate or unsafe content
7.Quality Assurance and Records
NWL Training Hub reserves the right to:
review training materials / course content
monitor delivery
obtain participant feedback
suspend or terminate engagement where quality concerns exist
The Provider shall maintain appropriate records relating to:
invoices
qualifications
insurance cover
The Provider shall maintain and provide appropriate records relating to:
attendance
evaluations
8.Governance and Reporting
The Provider shall:
obtain prior written approval from NWL Training Hub before subcontracting or transferring any part of the commissioned services
declare any actual, potential or perceived conflicts of interest that may affect the delivery of commissioned services
maintain an appropriate complaints process and notify NWL Training Hub of any formal complaints relating to commissioned services
promptly notify NWL Training Hub of any serious incident, safeguarding concern, information governance breach or any issue that may adversely affect learners, patients, programme delivery or the reputation of NWL Training Hub
9.Payment and Invoicing
The Provider shall submit a valid invoice to NWL Training Hub within 30 days of completion of the relevant training, event, programme activity, deliverable or other commissioned service unless otherwise agreed in writing.
NWL Training Hub shall pay undisputed invoices within 30 days of receipt of a valid invoice and any supporting documentation requested.
Invoices must contain sufficient information to enable verification of the services delivered, including the programme title, dates of delivery, agreed fee and any relevant purchase order or reference number where applicable.
NWL Training Hub reserves the right to request reasonable supporting evidence of delivery before processing payment.
Except where otherwise agreed in writing, no invoice shall be accepted or payable if submitted more than six (6) months after the date on which the relevant services were delivered. NWL Training Hub reserves the right to reject any such late invoice.
10.Funding, Suspension and Termination
NWL Training Hub reserves the right to withhold or recover funding where:
agreed delivery is not completed
reports are not provided
material quality concerns arise
contractual obligations are breached
NWL Training Hub may terminate any arrangement immediately where:
patient safety concerns arise
professional misconduct is identified
insurance or registration lapses
fraud or misuse of funds is suspected
a serious GDPR breach occurs
11.Publicity, Branding and Media
The Provider shall not issue press releases, public announcements, social media posts, website content or promotional materials referring to NWL Training Hub, The Confederation Hillingdon CIC, NHS England, West and North London ICB, programme participants or commissioned activities without prior written approval from NWL Training Hub.
The Provider shall not use NWL Training Hub branding, logos or intellectual property except where expressly authorised.
Any photographs, videos or recordings obtained during training delivery must be captured and used in accordance with applicable data protection legislation and consent requirements.
